CleanSpark, Inc. (Nasdaq: CLSK), a prominent Bitcoin mining company, has successfully concluded its offering of $650 million in zero-coupon convertible senior notes due in 2030. This strategic move aims to bolster the company's financial footing and support its expansion plans, according to CleanSpark.

Convertible Notes Details

The convertible notes, sold to qualified institutional buyers, include an additional $100 million due to the full exercise of an option by initial purchasers. These notes are structured under Rule 144A of the Securities Act of 1933, exempting them from registration under the act.

Capped Call Transactions

In conjunction with the offering, CleanSpark entered into capped call transactions to mitigate potential dilution of its common stock. These transactions set a 'cap price' of $24.66 per share, a 100% premium over the stock's closing price of $12.33 on December 12, 2024. This measure is intended to offset potential cash payments exceeding the principal amount of converted notes.

Share Repurchase and Financial Strategy

CleanSpark has repurchased 11.76 million shares of its common stock for approximately $145 million, aiming to reduce its outstanding share count. The company's CEO, Zach Bradford, emphasized that the funds from this offering will not only support CleanSpark's growth to 50 EH/s but also enhance its ability to capitalize on opportunistic acquisitions and add mined Bitcoin to its balance sheet.

Proceeds Utilization

The net proceeds from the offering, approximately $633.6 million after deductions, will be allocated towards capped call transactions, share repurchases, repayment of credit line amounts, capital expenditures, potential acquisitions, and general corporate purposes. This financial maneuver aligns with CleanSpark's strategic objectives without the immediate need for additional equity or equity-linked offerings.
